Terms of Service

Admesh.ai provides AI compute services (算力服务). Through a unified, OpenAI-compatible API, we provide access to the computing resources used to run third-party large language models (“Models”) offered by their respective providers (“Providers”). We operate the gateway, routing and metering, and provide compute access only — we do not provide content, advice or professional services. The Models, and any output they generate, are provided by and remain the sole responsibility of their respective owners.

We may change, add, suspend or discontinue any part of the Service (including any Model, feature or rate) at any time, with or without notice, and without liability to you.

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a legally binding agreement. By creating an account you represent that the information you provide is accurate, current and complete.

• You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us promptly of any unauthorized access to your account.
• We may, at our sole discretion, refuse registration, or suspend or terminate any account, at any time, with or without notice and with or without cause.

API keys are created from the console and grant programmatic access that draws on your account balance. Treat your API keys like passwords.

• Keep API keys secret and do not share them or commit them to source code or public repositories.
• You are solely responsible for all requests made using your API keys and for all charges they incur, including any unauthorized use.
• For security, we store only a cryptographic hash of your key and display only a prefix and the last few characters. The full key is shown to you only once at creation; if you lose it you must generate a new one.

The Service is prepaid and pay-as-you-go. You purchase credit (“Credit”) which is applied against usage. Credit is deducted based on actual token consumption (including, where applicable, input, output, cached input and reasoning tokens) at the rates published on our pricing page at the time of the request.

• Rates are displayed in USD (or as otherwise stated) and may change at any time, including without prior notice; changes apply to usage occurring after the change.
• Credit earns no interest. Unused Credit may be refunded in accordance with our Refund Policy; any refund is the return of your own unused balance and is not compensation for any loss.
• Payments are processed by third-party payment providers (for example Stripe). We do not store your full payment card details.
• You are responsible for all taxes, duties, fees and charges applicable to your use of the Service.
• Any billing dispute must be raised within 30 days of the relevant usage; after that period, the charges are deemed accepted.

The following refund terms form part of these Terms and prevail over any summary elsewhere:

• Refund window: you may submit a refund request within 180 days of the payment date. Each user may submit at most one refund request per calendar day. Orders older than 180 days are not eligible and will not be accepted.
• Eligible amount: only unused prepaid cash balance from genuine top-ups is refundable. Amounts already consumed are not refundable.
• Promotional credit is not refundable: credit obtained through referral rewards, campaigns or gifts cannot be withdrawn, transferred or refunded.
• Reward reversal: a refund will cause the referral rewards generated by the refunded top-up (including any invitee bonus) to be voided or clawed back. Credits already consumed may be recorded as an amount owed by the referring user.
• Refund method: refunds are returned to the original payment method. Our 180-day window is aligned with the refundable period of the payment networks, so there is no case in which a request is approved but cannot be paid out.
• Approval: every refund request is reviewed by us before any payout, and we may refuse a request on risk-control, anomalous-transaction or dispute grounds.
• Timing: once a refund is processed, funds typically reach the original payment method within 5–10 business days, depending on the issuing bank. A refund showing as successful does not mean the funds have already settled to your account.
• Invoices: we issue overseas-format invoices only and do not issue mainland China tax invoices. When a refund is processed we issue a credit note against the original invoice; the original invoice is not amended.

You agree not to use the Service, and not to permit any third party to use the Service:

• in violation of any applicable law or regulation, or in a manner that infringes the rights of others;
• to generate, distribute or facilitate unlawful, fraudulent, defamatory, infringing, harmful, deceptive or otherwise objectionable content;
• to reverse engineer, decompile, circumvent or attempt to disrupt, disable, interfere with or probe the Service, its security or its rate limiting;
• to resell, sublicense or redistribute access to the Service (including your API keys or Credit) without a separate written agreement with us;
• in a way that places an unreasonable or disproportionate load on our infrastructure, including unauthorized scraping or abusive automation;
• to develop or operate a competing service; or
• in any manner that we determine, in our sole discretion, to be harmful to us, our Providers, or other users.

We may, at our sole discretion, remove any content, suspend or terminate any account, or block any traffic that we believe violates this section, without prior notice and without liability.

As between you and us, you retain any rights you hold in the content you submit through the Service (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to process, transmit, store, reproduce and display Your Content to the extent reasonably necessary to provide, maintain, secure and improve the Service, including transmitting Your Content to Providers.

You represent and warrant that you have all necessary rights and consents in Your Content and that Your Content does not violate these Terms or any applicable law. You are solely responsible for Your Content and for the consequences of submitting it.

The Models are operated by third-party Providers over whom we have no control. We do not endorse, and we make no warranty regarding, any Model, Provider or output. Model availability may be affected by Provider outages, rate limits or policy changes, for which we bear no responsibility.

• Model outputs are provided “as is” and may contain errors, biases or harmful content.
• You are solely responsible for evaluating outputs and for any decisions made based on them.
• Your use of certain Models may be subject to additional Provider terms; it is your responsibility to review and comply with them.

The Service, our website, software, branding, trademarks, documentation and all related materials are owned by us or our licensors and are protected by applicable intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service solely as permitted under these Terms. All rights not expressly granted are reserved.

Any feedback, suggestions or ideas you provide to us may be used by us without restriction or compensation to you.

The Service is provided on an “as is” and “as available” basis. We do not guarantee that it will be uninterrupted, error-free, secure or available at any particular time or level. We may modify, suspend or discontinue the Service, in whole or in part, at any time, with or without notice, without liability to you. Any availability figures we publish are informational objectives only and do not constitute a commitment or give rise to any remedy.

To the maximum extent permitted by law, the Service and all related content and outputs are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or security. We do not warrant that the Service or any Model output will meet your requirements, be accurate or reliable, or be uninterrupted or secure.

Admesh.ai provides compute services only. To the maximum extent permitted by law, Vantage Horizon International Limited and its affiliates, officers, employees, agents and Providers shall not be liable for, and shall not pay any compensation for, any loss, damage, liability, claim, cost or expense of any kind (whether direct, indirect, incidental, special, consequential, exemplary or punitive, and including loss of profits, revenue, data or goodwill) arising out of or in connection with these Terms or your use of, or inability to use, the Service, whether based on contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of such loss.

The only remedy available to you is the refund of unused Credit in accordance with our Refund Policy. No other compensation, damages or remedy of any form is available, and nothing in these Terms shall be construed as an obligation to pay compensation of any kind.

• You may stop using the Service at any time and close your account from the console.
• We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, with or without cause, and without liability.
• Upon termination for any reason, your right to use the Service ends immediately.
• Any unused Credit remaining in your account upon termination will be handled in accordance with our Refund Policy.
• Provisions that by their nature should survive termination (including Sections 8, 10, 11, 14 and this Section 12) will survive.

We may modify these Terms at any time, in our sole discretion, by posting the revised Terms on the Service. Material changes may be announced through the website or by email, but no advance notice is required. Changes take effect upon posting (or on the stated effective date). Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

These Terms are governed by the laws of Hong Kong SAR, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR, and you irrevocably submit to the personal jurisdiction of those courts and waive any objection to venue therein.

• You agree to bring any claim against us in your individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.
• To the maximum extent permitted by law, you and we each waive any right to a trial by jury in any dispute arising out of these Terms.

• Entire agreement: these Terms (together with our Privacy Policy, Cookie Policy and Refund Policy) constitute the entire agreement between you and us regarding the Service.
• Severability: if any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
• No third-party beneficiaries: these Terms do not confer any rights on any third party.
