Partner Agreement

The partner program lets eligible partners introduce customers to Admesh.ai and earn commission on qualifying spend by those customers. Participation requires an approved application, acceptance of this Agreement and a verified payout account.

You must be at least 18 years old and able to enter into a binding agreement. You are responsible for the accuracy of the information in your application and for complying with the laws that apply to you.

Commission is calculated on the commissionable spend of customers attributed to you. Commissionable spend means real, paid top-up spend actually consumed through the API. Promotional credit, bonus credit, refunds, chargebacks, fraudulent transactions, taxes and any amounts not actually collected do not form part of commissionable spend.

The applicable commission rate, customer validity period, minimum payout amount and settlement day are shown in the Console and may be updated by Admesh.ai. Updates apply only to commission accrued after the effective date; they do not change commission already accrued.

Commission is accrued per billing event and is subject to review. Admesh.ai may correct calculations, reverse commission linked to refunds or chargebacks, and offset any negative balance against future commission.

A customer is attributed to you when they register through your partner link or are otherwise bound to you in the Console. Attribution is recorded at registration and is not changed by later customer requests, except where required by law or to correct fraud or error.

Commission accrues only during the customer validity period shown in the Console. Spend after that period does not generate commission. Admesh.ai does not guarantee any minimum number of customers, revenue or commission.

Accrued commission becomes withdrawable after the applicable settlement cycle, subject to the minimum payout amount and any hold, review or account verification requirement.

Withdrawals are requested in the Console and paid to the payout account you have bound. You are responsible for the accuracy of the payout account. Admesh.ai is not responsible for delays or losses caused by incorrect account details, bank or payment-provider delays, or events outside our reasonable control.

Admesh.ai may set off any amount you owe us against commission or other amounts payable to you.

Payout fees, if any, are disclosed in the Console or the applicable payout terms before a withdrawal is confirmed. You are responsible for all taxes, duties and reporting obligations arising from commission you receive, and you must provide any tax information we reasonably request.

Admesh.ai may withhold or deduct amounts where required by law or by a competent authority.

Payout accounts must be submitted in the Console and may be verified before withdrawals are enabled. We may request information to confirm your identity, ownership of the account and compliance with applicable law.

A change of payout account may require re-verification and may temporarily block withdrawals. A pending verification does not guarantee approval.

We may freeze withdrawals, suspend the partner relationship or terminate this Agreement where we detect fraud, abuse, self-referral, prohibited traffic, chargebacks, violation of law or a breach of this Agreement.

On termination, commission accrued before the effective date remains subject to review, set-off and the payout requirements in this Agreement. Commission that has not become withdrawable may be cancelled where it results from prohibited activity or reversed transactions.

You must not create fake accounts, self-refer, incentivise purchases in a way that misrepresents the service, send unsolicited messages, use misleading claims, or engage in any activity that harms customers or Admesh.ai.

Admesh.ai may investigate and reclaim commission where activity breaches this section, and may terminate the partner relationship.

We may update this Agreement from time to time. The current version and effective date are shown in the Console. Where required, we will ask you to accept a new version before continuing to participate. If you do not accept a new version, we may suspend commission accrual or end the partner relationship.

The version recorded when you accept is the version that applies to you from that date, together with any later version you accept.

This Agreement is governed by the laws of Hong Kong SAR. The parties will first try to resolve any dispute in good faith; if unresolved, the courts of Hong Kong SAR have exclusive jurisdiction.

If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver.
